Confida’s Terms of Use

Welcome to Confida.

These Terms of Use (”Terms”) govern your access to and use of (1) confida.ai, including all related pages and subdomains, (the “Website”) and (2) products or other offerings that are accessible through the Website or that Confida Legal Technologies, Inc., (”Confida,” “we,” “us,” or “our”) otherwise makes available to you (”Products”, and together with the Website, the “Platform”).

For purposes of these Terms, “you” and “your” means you as the user of the Platform. If you use the Platform on behalf of a company or other entity, then “you” includes you and that entity, and(i) you represent and warrant that you are an authorized representative of the entity with the authority to bind the entity to these Terms, and (ii) you agree to these Terms on the entity’s behalf.

By accessing or using our Platform, you agree to be bound by these Terms. If you do not understand or agree to these Terms, please do not use our Platform.

Confida is not a law firm

Confida is not a law firm or an attorney, and the Platform does not provide legal advice of any kind. Our Platform is also not a substitute for the advice of an attorney.  If you need legal advice for your specific matter, or if your matter is too complex to be addressed by our Platform, you should consult a licensed attorney in your area.  Attorneys or law firms that you may be introduced to or interact with on the Platform are not employees or agents of Confida.  Confida is not involved in the terms of any relationship or engagement between you and an attorney you connect with via the Platform.

At no time is an attorney-client relationship or any other special relationship created between you and Confida or any employee or agent of Confida, and any information you provide us is not protected by attorney-client privilege or under the work product doctrine.

Eligibility

To use the Platform, you must meet the following requirements:

     

      • You must be 18 years of age.

      • Because the Platform is currently designed to assist only U.S.-based individuals and entities, you must be located in the United States of America, a United States citizen, or otherwise subject to United States territorial jurisdiction.

    Limited Right to Use the Platform

    We hereby permit you to use the Platform for your use only, provided that you comply with these Terms in connection with all such use. If any software, content or other materials owned or controlled by us are distributed to you as part of your use of the Platform, we hereby grant you, a personal, non-assignable, non-sublicensable, non-transferrable, and non-exclusive right and license to access and display such software, content and materials provided to you as part of the Platform (and right to download a single copy of the App onto your applicable equipment or device), in each case for the sole purpose of enabling you to use the Platform as permitted by these Terms. Your access and use of the Platform may be interrupted from time to time for any of several reasons, including, without limitation, the malfunction of equipment, periodic updating, maintenance or repair of the Service or other actions that Company, in its sole discretion, may elect to take.

    Restrictions on Use

    In using or accessing the Platform, you shall not, and not shall not assist or permit others to:

       

        • Copy, reproduce, modify, adapt, translate, or create derivative works based on the Platform or any part thereof without Confida’s prior written consent.

        • Decompile, reverse engineer, disassemble, or attempt to derive the source code or underlying ideas or algorithms of any part of the Platform, except to the extent applicable laws specifically prohibit such restriction.

        • Access or use the Platform by any means other than through the interface provided by Confida, including but not limited to, using automated scripts, bots, scrapers, spiders, or crawlers.

        • Interfere with, disrupt, or attempt to gain unauthorized access to the servers, networks, or other infrastructure connected to the Platform.

        • Bypass, disable, or otherwise interfere with security-related features of the Platform, including features that prevent or restrict the use or copying of any content.

        •  Use the Platform for any unlawful purpose or in violation of any local, state, national, or international law or regulation.

        • Upload, post, transmit, or otherwise make available any content that infringes, misappropriates, or violates any third-party rights, including intellectual property rights, privacy rights, or publicity rights.

        • Upload, transmit, or distribute any viruses, worms, Trojan horses, time bombs, or any other harmful or malicious code.

        • Engage in any harassing, threatening, intimidating, predatory, or stalking conduct.

        • Use any data mining, robots, or similar data gathering or extraction methods in connection with the Platform.

        • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.

        • Collect or store personal data about other users without their express permission.

        • Sell, resell, rent, lease, distribute, or otherwise transfer the rights to the Platform or any portion thereof.

      Right to Change, Suspend, or Terminate the Platform

      Confida reserves the right, at its sole discretion and without prior notice, to modify, suspend, discontinue, or terminate any aspect of its Platform at any time. This includes but is not limited to changing or removing functionalities, features, or content. Confida may also impose limits on certain features or restrict your access to parts or all of the Platform without notice or liability of any kind.

      You also acknowledge and agree that Confida shall not be liable to you or any third party for any modification, suspension, discontinuation, or termination of the Platform or any part thereof.

      Use of Confida’s Ai Engine

      Some Products, such as Confida’s Chat, give you the ability to use features powered by generative artificial intelligence (each an “Ai Engine”). When using an Ai Engine, you will have the opportunity to input or upload information, documents, and other data (“Input”), and Confida’s software will use artificial intelligence tools and functionalities to generate new content in response to that Input (“Output”). For the purposes of these Terms and Confida’s Privacy Policy, any Input will be deemed “Your Content.”

      Your use of any Ai Engine is subject to the following terms:

         

          • By submitting any Input through the Platform, you represent that you have obtained all rights, licenses, consents, permissions, power and/or authority necessary to submit and use (and allow us to use) such Input in connection with the Platform.

          • You may not direct the Platform to generate any Output in violation of any applicable intellectual property right, contractual restriction or other law.

          • You also represent and warrant that your submission of Input in connection with your use of the Platform, including to generate Output, will not breach any law or any third party’s terms and conditions associated with such Input.

          • You may not misrepresent the source of any Output or the fact that it was generated by artificial intelligence.

          • Your use of an Ai Engine, including any Outputs, may also be subject to license and use restrictions set forth in a third-party LLM license, if applicable.

        You further represent and warrant that you understand and agree to the following limitations of Output:

           

            • Limitations on Accuracy. While Confida strives to provide accurate and up-to-date information, the Output may contain inaccuracies, errors, or omissions. The AI technology used to generate the Output relies on patterns in data and may not reflect the most current legal developments or nuances specific to your situation.

            • Not a Substitute for Legal Advice. You should not rely on the Output as a basis for making any legal decisions or taking any actions. Any reliance on the Output is at your own risk. For specific legal advice tailored to your situation, please consult a qualified, licensed attorney.

            • No Warranties. CONFIDA MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR SUITABILITY OF THE OUTPUT FOR ANY PURPOSE. THE OUTPUT IS PROVIDED “AS IS” WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT..

            • User Responsibility.  You are solely responsible for verifying the accuracy and applicability of any Output before relying on it. Confida shall not be liable for any losses, damages, or claims arising from your use of or reliance on the Output.

          Attorneys and Other Third Party Platform

          The Platform may refer you to, or allow you to share information with, third parties that are not owned or controlled by Confida, such as attorneys, law firms, collaborators, applications, websites, information, advertisers, consultants, promotions, products, services, or other resources (collectively, the “Third-Party Platform”). Confida does not endorse or assume any responsibility for any Third-Party Platform, including any attorneys or law firms introduced or otherwise connected to you through the Platform. You access and use Third-Party Platform at your own risk, and you understand that these Terms do not govern your relationship or engagements with those third parties.

          You expressly relieve Confida from any and all liability arising from your use of any Third-Party Platform. Additionally, your dealings with or use of Third-Party Platform, including payment and delivery of services, and any other terms (such as warranties) are solely between you and those offering such Third-Party Platform. You agree that Confida shall not be responsible for any loss or damage of any sort relating to your dealings with Third-Party Platform.

          If you have used the Platform to share information or have otherwise consented to share information with an attorney or any other third party, or if you have requested any Third-Party Service, you agree that we may share information that you consented to share with such third party or Third-Party Service or information that is necessary in order to fulfill your request for a Third-Party Service. You further agree that we may assist such third parties with accessing such information and fulfilling your request. You also acknowledge that information you share with a third party may be further shared or otherwise accessible in some cases, such as when you share information with an attorney or other collaborator who uses features of the Platform enabling collaboration amongst their colleagues.

          Account Security

          To use certain of the Platform, you may need to create an account or link another account, such as your Apple or Google account (“Account”). You agree to provide us with accurate, complete and updated information for your Account. You can access, edit and update your Account through the settings page of your Account profile. You are solely responsible for any activity on your Account and for maintaining the confidentiality and security of your password. We are not liable for any acts or omissions by you in connection with your Account. You must immediately notify us at support@confida.ai if you know or have any reason to suspect that your Account or password have been stolen, misappropriated or otherwise compromised, or in case of any actual or suspected unauthorized use of your Account. You agree not to create an Account if we have previously removed your Account, or we previously banned you from any of our Platform, unless we provide written consent otherwise.

          Confidentiality and Privacy

          We care about the privacy of our Users. You can view our privacy policy at confida.ai/privacy.

          We also care about protecting your confidential information. Although we stress (again) that any information you to input, submit, or otherwise provide in using the Platform is not protected by attorney-client privilege, we do take certain steps to protect the confidentiality and sensitivity of such information in accordance with the following:

             

              • “Confidential Information” means (a) for Confida, the Platform and information and data related to the Platform, and (b) for you, Your Content.  Confidential Information shall not include information that: (i) was or becomes generally known to the public through no fault or breach of these terms of service by Recipient; (ii) was rightfully in Recipient’s possession at the time of disclosure without restriction on use or disclosure; (iii) was independently developed by Recipient without use of the Disclosing Party’s Confidential Information; (iv) was rightfully obtained by Recipient from a third party not under a duty of confidentiality and without restriction on use or disclosure; or (v) constitutes anonymized or de-identified data. Information you provide to Confida that is not Confidential Information will be treated in accordance with Confida’s Privacy Policy.

              • Recipient will use the Confidential Information of the disclosing party solely for the purpose for which it is provided, will not disclose such Confidential Information to a third party, except on a need-to-know basis to its attorneys, auditors, consultants, and service providers who are under confidentiality obligations at least as restrictive as those contained herein, and will protect such Confidential Information from unauthorized use and disclosure to the same extent that it protects its own Confidential Information of a similar nature, but using no less than a reasonable degree of care.

              • Notwithstanding the foregoing, you expressly authorize Confida to use and process Your Content as described in the Confida Privacy Policy, which, includes provision for delivering Your Content in accordance with your use of the Platform and sharing Your Content with individuals whom you consent to access Your Content. Confidential Information will always remain the property of its owner.

            •  

              • You consent to have your personal data collected, used, transferred to and processed in the United States. We have implemented commercially reasonable technical and organizational measures designed to secure your personal information from accidental loss and from unauthorized access, use, alteration or disclosure. However, we cannot guarantee that unauthorized third parties will never be able to defeat those measures or use your personal information for improper purposes. You agree that you provide your personal information and other data provided to Confida at your own risk.

            Intellectual Property Rights

            Ownership of Platform and Content

            Other than Input and Output, all content, features, and functionality available through the Platform —including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the compilation thereof—is the exclusive property of Confida and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

            Confida, the Confida logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Confida or its affiliates or licensors. You must not use such marks without the prior written permission of Confida. All other names, logos, product and service names, designs, and slogans on the Platform are the trademarks of their respective owners.

            Feedback

            If you provide Confida with any suggestions, comments, ideas, improvements, or other feedback relating to the Platform (“Feedback”), you hereby grant Confida a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free, fully paid-up license to use, reproduce, modify, create derivative works from, distribute, publicly perform, publicly display, and otherwise exploit such Feedback for any purpose without acknowledgment or compensation to you.

            You agree that:

               

                • • Feedback is not confidential information.

                 

                  • • Confida may already have under consideration or in development ideas similar to your Feedback.

                   

                    • • You are not entitled to any compensation or reimbursement of any kind from Confida under any circumstances for Feedback.

                  Violation of Intellectual Property Rights

                  Confida respects the intellectual property rights of others and expects users of the Platform to do the same. If you believe that any content on the Platform infringes your intellectual property rights, please notify Confida by emailing us at legal@confida.ai.

                  Reservation of Rights

                  All rights not expressly granted to you in these Terms of Use are reserved by Confida. No implied licenses are granted under these Terms.

                  Warranty Disclaimers

                  To the fullest extent permitted by applicable law, Confida provides its Platform on an “as is” and “as available” basis, without any warranties of any kind, either express or implied. Confida expressly disclaims all warranties and conditions of any kind, including but not limited to:

                     

                      1. Implied Warranties: Any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising out of course of dealing or usage of trade.

                      1. Accuracy and Reliability: No warranty that the Platform will be accurate, reliable, complete, or up-to-date. Confida does not warrant that any information obtained through the Platform will meet your requirements or expectations.

                      1. Uninterrupted Access: No warranty that the Platform will be uninterrupted, timely, secure, error-free, or free from viruses or other harmful components. Confida does not guarantee that any defects or errors will be corrected.

                      1. Third-Party Content: Confida makes no warranties or representations regarding any content provided by third parties, including attorneys on the attorney platform or external links accessible through the Platform.

                      1. Results and Outcomes: No warranty regarding the results that may be obtained from the use of the Platform or the accuracy or reliability of any information obtained through the Platform.

                      1. Legal Advice: The Platform is not a substitute for professional legal advice. Any interactions with attorneys through the attorney platform do not establish an attorney-client relationship between you and Confida. Confida disclaims any responsibility for any legal advice provided by attorneys on the platform.

                      1. Data Security: While Confida implements reasonable security measures, it does not warrant or guarantee that personal information cannot be accessed by unauthorized persons.

                    No Creation of Warranty

                    No advice or information, whether oral or written, obtained by you from Confida or through the Platform shall create any warranty not expressly stated in these Terms of Use.

                    Jurisdictional Limitations

                    Some jurisdictions do not allow the exclusion of certain warranties or limitations on how long an implied warranty may last. Accordingly, some of the above limitations may not apply to you. In such jurisdictions, Confida’s warranties shall be limited to the fullest extent permitted by law.

                    Indemnification

                    You agree to defend, indemnify, and hold harmless Confida, its affiliates, and their respective officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) (”Claims”) arising out of or relating to any of the following:

                       

                        • Your Use or Misuse of the Platform: Any use or misuse of the Platform by you or any person using your account, including but not limited to content you submit, post, transmit, or otherwise make available through the Platform, to the extent such use or Misuse gives rise to the applicable Claim(s).

                        • Violation of Terms: Your violation of these Terms of Use, any applicable law, regulation, or rights of any third party.

                        • Breach of Obligations: Your breach of any obligations, representations, or warranties under these Terms of Use.

                        • Third-Party Rights: Any infringement or misappropriation of any intellectual property or other rights of Confida or third parties by you or any person using your account.

                        • Disputes with Attorneys: Any disputes, claims, or actions arising from your interactions with attorneys or other users on the attorney platform, including reliance on legal advice provided.

                        • Data and Security Breaches: Any unauthorized access to or use of the Platform via your account, including any security breaches or data losses resulting from your actions or inactions.

                      Confida reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You shall not settle any matter without the prior written consent of Confida. Confida will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

                      Limitations of Liability

                      Exclusion of Certain Damages

                      To the maximum extent permitted by applicable law, in no event shall Confida, its affiliates, licensors, service providers, employees, agents, officers, or directors be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages. This includes, without limitation, damages for loss of profits, revenue, data, goodwill, or other intangible losses arising out of or related to your access to or use of, or inability to access or use, the Confida website, free chat product, or attorney platform, even if Confida has been advised of the possibility of such damages.

                      Limitation of Liability Amount

                      In no event shall Confida’s total cumulative liability to you for all claims arising under or relating to these Terms of Use exceed the greater of (a) the total amount paid by you to Confida, if any, during the twelve (12) months immediately preceding the date the cause of action arose, or (b) one hundred U.S. dollars (USD $100).

                      Basis of the Bargain

                      You acknowledge and agree that the disclaimers, exclusions, and limitations of liability set forth in these Terms of Use reflect a reasonable and fair allocation of risk between you and Confida. These limitations are an essential basis of the bargain between you and Confida and will survive and apply even if any limited remedy specified in these Terms is found to have failed its essential purpose.

                      Exceptions

                      Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. To the extent that such laws apply to these Terms of Use, the exclusions and limitations set forth herein may not apply to you. In such cases, Confida’s liability will be limited to the fullest extent permitted by applicable law.

                      Release

                      To the fullest extent permitted by law, you release Confida and its affiliates from responsibility, liability, claims, demands, and damages of every kind and nature, known and unknown, arising out of or related to disputes between users or between users and third parties in connection with the Confida services.


                      Modification of These Terms

                      Confida may modify, update, or replace these Terms of Use at any time, and such changes will become effective immediately upon posting the revised Terms on our Website. Although we will use reasonable efforts to attempt to notify you of such changes, such as by e-mail if you have an account with us, it is your responsibility to review these Terms periodically for any updates or changes. Your continued use of the Platform after any modifications to the Terms indicates your acceptance of the revised Terms. If you do not agree to the new Terms, you must cease using the Platform immediately.

                      Miscellaneous Terms

                      Governing Law and Jurisdiction

                      These Terms of Use shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding arising under or related to these Terms will be brought exclusively in the federal or state courts located in Jefferson Parish or Orleans Parish, Louisiana, USE, and you hereby consent to the personal jurisdiction and venue therein.

                      Severability

                      If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, such provision shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms shall remain in full force and effect.

                      Entire Agreement

                      Unless you have entered a written, signed agreement with Confida, these Terms of Use, along with our Privacy Policy and any additional terms to which you agree when using specific elements of the Platform, constitute the entire agreement between you and Confida regarding the use of the Platform and supersede all prior agreements between you and Confida relating to the Platform.

                      No Waiver

                      The failure of Confida to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Confida.

                      Assignment

                      You may not assign or transfer these Terms, by operation of law or otherwise, without Confida’s prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. Confida may assign or transfer these Terms, at its sole discretion, without restriction.

                      Notices

                      Confida may provide notifications to you via email, written or hard copy notice, or through posting of such notice on our website, as determined by Confida in our sole discretion. Confida is not responsible for any automatic filtering you or your network provider may apply to email notifications.

                      Force Majeure

                      Confida shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Confida’s reasonable control, including but not limited to mechanical, electronic, or communications failure, acts of God, war, terrorism, labor disputes, or governmental actions.

                      Third-Party Beneficiaries

                      These Terms do not and are not intended to confer any rights or remedies upon any person other than the parties.

                      Headings

                      The section titles in these Terms are for convenience only and have no legal or contractual effect.

                      Survival

                      All provisions of these Terms which by their nature should survive termination shall survive termination, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

                      Relationship of Parties

                      No joint venture, partnership, employment, or agency relationship exists between you and Confida as a result of these Terms or use of the Platform.

                      Electronic Communications

                      By using the Platform, you consent to receiving electronic communications from Confida. These communications may include notices about your account and information concerning or related to the Platform. You agree that any notices, agreements, disclosures, or other communications that Confida sends to you electronically will satisfy any legal communication requirements.

                      Language

                      These Terms of Use are drafted in the English language. If these Terms are translated into any other language, the English language version shall prevail in the event of any conflict between the two versions.
