Confida provides this workspace so you can review, draft, and negotiate privately. We understand that lawyers may use this workspace for highly sensitive information, including information that may be protected by attorney-client privilege or work product rules. For that reason, Confida takes reasonable measures designed to protect the confidentiality of what you do here.

By accessing or using this workspace, you agree to these terms. If you use this workspace on behalf of a law firm, company, or other organization, "you" means both you and that organization, and you confirm that you have authority to bind that organization.

These are the only terms that apply to this workspace

• These terms apply only to your use of the Counterparty Workspace and related features.

• For that use, these terms replace Confida’s standard website terms, privacy terms, and other online terms.

• You do not need to review any other Confida terms for this workspace.

• If there is any conflict between these terms and any other Confida terms, these terms control for this workspace.

What stays private

• The other side cannot see what you do inside your workspace.

• The other side can see only:

  • that you have opened or accessed the workspace, and

  • anything you choose to submit or send to them.

• The other side does not see your private drafts, internal notes, prompts, chat activity, uploaded materials that you do not submit, or other private workspace activity.

• Other than providing, securing, and supporting the workspace, Confida does not use the substance of your materials for its own purposes.

• Confida does not sell your data.

Confidential handling of your data

• We understand that you may use this workspace for confidential legal work.

• Confida treats your workspace data as confidential.

• Confida shares your data only as strictly necessary to provide, secure, maintain, and support the workspace.

• Any service providers that handle your data for those purposes are subject to binding confidentiality obligations.

• Confida does not share your data with the other side unless you choose to send it to them through the negotiation process.

AI chat and model training

• This workspace may include AI chat and related AI features.

• Confida does not use your inputs, uploaded documents, or AI outputs to train models.

• Confida does not permit training on your workspace inputs or outputs for these features.

• AI outputs are visible only within your workspace unless you choose to share them.

Limited anonymous usage data

• Confida collects only limited anonymous product usage data from the workspace.

• In plain English, this means basic event data such as:

  • whether a page was opened,

  • whether a button was clicked, or

  • whether a feature was used.

• This usage data does not include the substance of anything you type, upload, ask, review, or generate.

• Confida does not use workspace analytics to read or analyze your prompts, notes, messages, or documents.

Deletion

• When the customer marks the workflow closed, Confida deletes your workspace data within 30 days.

• This may happen whether the matter ends in signature, cancellation, or another closing outcome.

• If you want Confida to retain the workspace longer, email privacy@confida.ai before that deletion occurs.

• This deletion commitment applies to workspace data held by Confida. It does not apply to materials you already chose to send to the other side.

Security

• Confida is audited for SOC 2 Type II security and confidentiality controls.

• Data is encrypted in transit and at rest, with daily encrypted backups.

• Access is protected through strong identity and access controls, including OAuth and SSO with enforced MFA, backed by least-privilege access controls.

• Confida uses continuous vulnerability scanning and timely remediation across infrastructure and dependencies.

• Confida uses continuous monitoring, threat protection, and audit logging to protect the environment.

What you may not do

• You may not reverse engineer, decompile, disassemble, or otherwise try to derive the source code, models, prompts, workflows, or underlying functionality of the workspace.

• You may not scrape, copy, benchmark, or use the workspace to build or support a competing product or service.

• You may not interfere with the workspace, bypass security measures, or test the system for vulnerabilities without Confida’s written permission.

• You may not use the workspace in violation of law or another person’s rights.

A few legal basics

• Confida is a technology provider, not a law firm, and does not provide legal advice.

• You are responsible for your legal judgments, your work product, and anything you choose to send to the other side.

• The workspace is provided "as is" and "as available."

• To the fullest extent permitted by law, Confida is not liable for indirect, incidental, special, consequential, or punitive damages arising from the workspace.

• To the fullest extent permitted by law, Confida’s total liability arising from the workspace will not exceed US$100.

• Nothing in these terms limits liability to the extent such a limit is prohibited by law.
